These Terms and Conditions of Sale (these “Terms”) are a legal agreement between you (“You” or “Customer”) and Electromobility Solutions, Inc., a California limited liability company (“E11,” “we,” “us,” or “our”), located at:

2485 Coral St, Vista, CA 92081, United States

These Terms apply to:

  1. All consumer purchases of E11 electric bikes (“ebikes”) and related accessories or products (collectively, the “Products”), whether purchased through our official website, our official Amazon store, or from authorized E11 dealers; and
  2. Your access to and use of the E11 website, online store, and related online services (the “Site” or “Services”).

By (a) purchasing any Products from E11 or (b) accessing or using the Site, you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, do not purchase Products or use the Site.

1. Applicability and Related Policies

These Terms apply to your purchase of Products and your use of ebikes and the Site. Additional agreements may also apply, including:

  • Limited Warranty Terms
  • Privacy Notice
  • Owner’s Manuals
  • Shipping & Returns Policy (as referenced herein)

These documents may be updated from time to time and are incorporated into these Terms by reference.

2. Eligibility and Age Requirements

You represent and warrant that you are at least 18 years old or the age of legal majority in your jurisdiction (whichever is higher).
If you are under this age, you may not purchase Products from E11.

E11 may cancel any order if we discover or suspect you are not of legal age.

3. Orders and Acceptance

  • When you place an order, it is an offer to purchase Products.
  • E11 accepts your order only when the Product ships, even if you received a confirmation email.
  • E11 may refuse, cancel, or limit orders for any reason, including suspected fraud, errors, or reseller activity.

We may attempt to notify you using the information you provided with your order.

4. Pricing, Billing, and Payment

  • Prices may change at any time without notice.
  • Taxes will be added where required.
  • Payments for online orders are processed through Shopify or other approved processors.
  • For pre-orders or backorders, your card may be charged immediately, regardless of expected ship date.

If a chargeback occurs, the Limited Warranty is paused until resolved.

Financing options are provided through third-party partners; you are responsible for reviewing their terms.

5. Product Performance and Modifications

  • Ebike range estimates are not guaranteed; many real-world factors affect range.
  • E11 may use substitute parts of equivalent quality.
  • Any modification or alteration may void the Limited Warranty.

6. Safety Requirements

By using a E11 ebike, you agree to:

  • Require operators be 18+
  • Wear a properly fitted helmet
  • Comply with all local laws and safety requirements
  • Perform pre-ride safety checks
  • Properly assemble and maintain your ebike

Damaged batteries or chargers must be discontinued immediately.

You accept the inherent risks of riding an ebike, including risk of injury or death.

7. Pre-Orders and Backorders

All pre-order/backorder purchases are charged immediately and subject to the cancellation rules in Section 6.

8. Website Use and Content

  • Site information may not always be accurate, complete, or current.
  • E11 may modify Site content at any time.
  • Errors, inaccuracies, or omissions may be corrected without notice.

Use of third-party tools or links is at your own risk.

9. User Feedback and Submissions

Any comments, ideas, or feedback you submit may be used by E11 without restriction or compensation.

10. Personal Information

Your submission of personal information is governed by our Privacy Policy.

11. Warranties and Disclaimers

Except for the Limited Warranty, Products and Services are provided:

“AS IS,” “WITH ALL FAULTS,” and “AS AVAILABLE.”

E11 disclaims all implied warranties to the maximum extent permitted by law.

12. Limitation of Liability

To the fullest extent permitted by law:

  • E11’s total liability is limited to the amount you paid for the specific Product.
  • E11 is not liable for consequential, incidental, indirect, special, punitive, or exemplary damages.

This Section does not exclude liability where it is illegal to do so (e.g., gross negligence, fraud).

13. Indemnification

You agree to indemnify and hold harmless E11 from any claims arising from:

  • your purchase or use of Products
  • violation of these Terms
  • violation of any law or third-party rights

14. Dispute Resolution and Arbitration (Binding)

All disputes between you and E11 will be resolved exclusively by binding arbitration on an individual basis under the AAA Consumer Arbitration Rules.

You waive the right to:

  • A court action
  • A jury trial
  • Participation in class or representative claims

The arbitration agreement is governed by the Federal Arbitration Act.

15. Notices

E11 may provide notices via:

  • Email
  • Mail
  • Posting on the Site

It is your responsibility to maintain accurate contact information.

16. Governing Law

These Terms are governed by California law (without regard to conflict-of-law rules), subject to arbitration under Section 16.

17. Assignment

E11 may assign these Terms at any time.
You may not assign your rights without E11’s written consent.

18. Entire Agreement

These Terms constitute the entire agreement between you and E11 and supersede all prior agreements.
